Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your engagement with Onyxarro ("we", "us", "our"), a web design service operated by The Victory Co. Limited, a company registered in New Zealand. By commissioning work from Onyxarro, you ("Client") agree to be bound by these Terms.

2. Scope of Services

Onyxarro provides premium website design and development services. The specific scope of each project is determined by the package selected:

Full package inclusions are detailed on our website and in any proposal or onboarding documentation provided to the Client.

3. Client Responsibilities

To ensure timely delivery, the Client agrees to:

Delays caused by the Client may extend the delivery timeline beyond the standard 48-hour window.

4. Intellectual Property

Upon receipt of full payment, the Client owns the final delivered website, including all custom code, design assets, and content created specifically for their project.

Onyxarro retains the right to showcase the completed project in its portfolio, case studies, and marketing materials unless the Client explicitly requests otherwise in writing prior to project commencement.

Any pre-existing frameworks, tools, libraries, or templates used in the build remain the property of their respective owners and are licensed, not transferred.

6. Delivery Timeline

Our standard delivery timeline is 48 hours from the moment the Client's brief is approved and the deposit is received. This timeline assumes timely provision of all required materials by the Client.

Complex requirements or delayed Client responses may extend this timeline. Onyxarro will communicate any expected delays promptly.

7. Revisions

Each project includes 2 rounds of revisions. A revision round is defined as a single consolidated set of feedback submitted by the Client.

Additional revisions beyond the included rounds are billed at $150 NZD per hour, quoted in advance.

8. Care Plans

Ongoing website maintenance is available through our Care Plans:

Care plans are billed monthly. Clients may cancel at any time; however, no refund will be issued for the current billing month. Please refer to our Refund Policy for full details.

9. Cancellation & Termination

Either party may terminate the engagement by providing written notice via email to hello@onyxarro.com.

10. Limitation of Liability

To the maximum extent permitted by New Zealand law:

11. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of the agreement.

12. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond their reasonable control, including natural disasters, pandemics, internet outages, or government actions.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

14. Changes to These Terms

Onyxarro reserves the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of the revised Terms.
